TERMS AND CONDITIONS OF USE AND SALE

Shopify provides the technological infrastructure used by the online store. However, all purchase, subscription and service contracts are concluded directly with Creative Random Universe, Lda.

  1. Scope and acceptance

These Terms and Conditions govern:

  • use of the website and online store;

  • purchases of services, subscriptions and products;

  • access to coworking and atelier spaces;

  • use of meeting rooms;

  • use of the photography and recording studios;

  • participation in events, workshops and other activities promoted by CRU Creative Hub.

By using the website, creating an account or making a purchase, the customer confirms that they have read and accepted these Terms and Conditions, the Cancellation, Returns and Refunds Policy and the Privacy Policy.

The specific conditions displayed on the page of each service, plan, product or event form part of the relevant contract. In the event of any conflict, the specific conditions communicated before purchase will prevail, without prejudice to mandatory consumer rights.

  1. Legal capacity to enter into a contract

Purchases must be made by persons with the legal capacity to enter into contracts.

Where a purchase is made on behalf of a company or organisation, the person making the purchase confirms that they have the authority to represent and bind that entity.

The customer is responsible for ensuring that all information provided is accurate and up to date, including contact, payment and invoicing details.

  1. Information, prices and availability

CRU seeks to ensure that all descriptions, images, prices, features and availability information displayed on the website are clear and accurate.

Prices displayed at checkout include VAT at the applicable statutory rate, unless expressly stated otherwise. Proposals and quotations intended for business customers may display a base price to which VAT is added.

CRU may correct obvious errors in prices, descriptions or availability before final confirmation of the contract. If an error affects an order that has already been placed, the customer will be informed and may either confirm the purchase under the corrected conditions or receive a refund of the amount paid.

Availability displayed on the website may depend on coworking capacity, room and studio calendars, equipment, staff and other activities taking place at CRU.

  1. Purchase process and formation of the contract

Before completing a purchase, the customer may review and correct the order information.

Completing an order entails an obligation to pay. Following the purchase, the customer will receive confirmation by email or another durable medium.

For services that are confirmed immediately, the contract is concluded when both the payment and order have been confirmed.

Applications to join the coworking or atelier spaces and requests to book meeting rooms or studios may require prior approval. Receipt of a request or an automatically generated email does not, by itself, mean that a place or booking has been confirmed.

A booking is only considered confirmed after express communication from CRU and, where applicable, payment of the amount due.

  1. Joining the coworking and atelier spaces

Subscription to a coworking or atelier plan is not automatic. As a general rule, it is preceded by a visit to the space to understand the prospective customer’s needs, explain how CRU operates and confirm the availability and suitability of the selected plan.

CRU manages occupancy and the composition of its community to maintain a functional, balanced, safe and respectful working environment. Acceptance is subject to availability, the conditions of use of the space and objective operational criteria, without any discrimination contrary to law.

Coworking and atelier spaces are intended for regular and ongoing use. CRU does not offer day passes or occasional access unless a different option is expressly made available.

  1. Monthly coworking and atelier plans

Monthly plans include the spaces, services and limits specified on the page of the plan purchased.

Depending on the plan, membership may include access to the workspace, Wi-Fi, cleaning, kitchen facilities, a shared printer and limited use of meeting rooms or the video-call booth. Studios and other additional services are subject to booking and their own conditions.

Subscriptions renew monthly until cancelled. By selecting recurring payment, the customer authorises the monthly membership fee to be charged using the selected payment method.

The subscription may be cancelled at any time through the customer account. To help CRU Creative Hub manage and organise its spaces, we kindly ask customers, whenever possible, to cancel at least 10 days before the next renewal date. Further conditions are set out in the Cancellation, Returns and Refunds Policy.

Any future change to the price of a subscription will be communicated before the affected renewal. The customer may cancel the subscription before the new price takes effect.

  1. 10-day pack and booking system

The 10-day pack allows the customer to use the coworking space for 10 days within its two-month validity period, subject to daily availability.

Each day of use may require a booking through CRU’s booking system. Purchasing a pack does not guarantee availability on a particular date without the corresponding booking.

Credits are personal and may not be sold or transferred without CRU’s prior authorisation.

Any unused days remaining at the end of the validity period expire in accordance with the Cancellation, Returns and Refunds Policy.

  1. Opening hours and access

Access is limited to the opening hours communicated by CRU and to the conditions of the relevant plan or booking.

The usual coworking opening hours are:

  • Monday to Friday, from 9:30 am to 7:30 pm;

  • Saturday, from 10:00 am to 7:30 pm.

Opening hours may be adjusted on public holidays, during closure periods, maintenance work, events or other circumstances that have been duly communicated.

Access methods, accounts and credentials are personal and may not be transferred to third parties. The customer must immediately report any loss, unauthorised access or security problem.

  1. Use of the coworking and common areas

Users must respect:

  • everyone working in or visiting the space;

  • opening hours and authorised access areas;

  • safety, hygiene and community rules;

  • the usage limits included in their plan;

  • reasonable instructions given by the CRU team.

Illegal, dangerous or discriminatory activities, or activities likely to seriously disrupt the work, safety or wellbeing of the community, are not permitted.

Access by a user’s customers, guests or collaborators must comply with CRU’s rules. Users are responsible for the conduct of anyone they invite into the space.

The presence of dogs in the coworking space is subject to CRU’s prior assessment and authorisation. Assistance dogs are admitted in accordance with the law.

  1. Internet, equipment and personal belongings

Internet access must be used lawfully and responsibly. The network may not be used for illegal activities, infringement of third-party rights, distribution of malicious content or any action that compromises the security or operation of the systems.

CRU does not guarantee that the internet service or other equipment will remain permanently free from interruptions, although it will seek to resolve any failures as quickly as possible.

Users are responsible for their computers, equipment, documents and other personal belongings. CRU does not provide a safekeeping service and is not liable for loss, theft or damage unless legally attributable to CRU.

  1. Meeting rooms

Use of meeting rooms is subject to booking, maximum capacity, opening hours, prices and conditions displayed on the website or communicated by CRU.

Additional equipment or services, including a projector, technical assistance, set-up or catering, must be requested in advance and may be subject to availability and a separate quotation.

The customer must use the room only for the stated purpose and return it clean, tidy and in the condition in which it was found.

Cancellation and rescheduling conditions are set out in the Cancellation, Returns and Refunds Policy.

  1. Photography and recording studios

Booking requests are subject to the availability of the space, equipment and team. A request does not constitute a confirmed booking until expressly confirmed by CRU and, where applicable, paid for.

Customers are advised to submit requests at least 48 hours in advance.

The booked time includes entry, preparation, set-up, the session itself, dismantling and departure. Extensions are subject to availability and require payment for the additional time.

Use outside normal opening hours, on Sundays or public holidays, is subject to authorisation and availability. An additional charge of 50% of the hourly rate may apply.

Technical assistance, production, equipment operation, editing or continuous support are included only when expressly stated or contracted.

The customer must:

  • comply with the stated maximum capacity;

  • use the space and equipment correctly;

  • follow all technical and safety instructions;

  • request permission before changing backdrops, sets, furniture or configurations;

  • return the space clean, tidy and in its original configuration;

  • ensure that all participants comply with these conditions.

The customer may be required to sign a liability agreement before using the studio.

Animals are not permitted in the studios, except for assistance dogs. Animals taking part in a production may be authorised in the photography studio following CRU’s prior assessment.

  1. Damage and customer responsibility

The customer is responsible for damage caused by the customer or by participants, guests or collaborators under their responsibility when it results from misuse, negligence, failure to follow instructions or conduct contrary to the applicable rules.

CRU may require payment of reasonable extraordinary cleaning, repair or replacement costs, subject to providing the relevant grounds.

The customer must immediately report any accident, damage, malfunction or risk.

  1. Payments and invoicing

The available payment methods are displayed at checkout and may change over time.

The customer must provide accurate payment and invoicing information. The invoice will be issued using the information provided at the time of purchase.

If a recurring payment fails, CRU may contact the customer and attempt to collect the payment again. Until the situation is resolved, CRU may suspend new access or bookings without deleting the account history or records of previous use.

Any suspension does not remove amounts that have already fallen due and remain payable.

  1. Cancellations, returns and refunds

The conditions applicable to memberships, packs, meeting rooms, studios, events and physical products are set out in the Cancellation, Returns and Refunds Policy, which forms part of these Terms and Conditions.

Nothing in these Terms limits the statutory right of withdrawal or any other mandatory consumer rights.

Where the customer requests that a service begin during the statutory withdrawal period, the customer may be asked to expressly consent to the start of the service and acknowledge the consequences established by law.

  1. Events and activities

Participation in events, workshops, training sessions or other activities may be subject to specific rules relating to schedules, minimum age, capacity, materials, image recording and cancellation.

These conditions will be displayed on the event page or communicated before purchase.

CRU may refuse entry or ask a person to leave in the event of dangerous, illegal, discriminatory or seriously disruptive conduct, without prejudice to the assessment of any applicable contractual consequences.

  1. Physical products

The availability, characteristics, price and delivery conditions of physical products are displayed on the relevant product page.

Where applicable, delivery times and costs will be communicated before the purchase is completed.

Rights relating to returns, lack of conformity, defective products or incorrectly dispatched products are governed by the Cancellation, Returns and Refunds Policy and applicable law.

  1. Suspension or termination of access

CRU may temporarily suspend access to services or spaces where necessary to:

  • protect people, premises, equipment or systems;

  • carry out maintenance or urgent works;

  • respond to an emergency;

  • investigate a serious breach of these Terms;

  • resolve overdue payments.

In the event of a breach, CRU will, where appropriate, seek to inform the customer and provide an opportunity to remedy the situation.

Immediate suspension or termination may occur in cases involving risk, illegal activity, violence, harassment, intentional damage, threats to safety, or serious and repeated breaches.

Where CRU terminates a service for reasons not attributable to the customer, rescheduling, credit or a refund for the unused period will be provided, as appropriate.

  1. Changes, interruptions and force majeure

CRU may make reasonable changes to its spaces, equipment, opening hours or operations when required for maintenance, safety or service improvements.

Whenever possible, significant changes will be communicated in advance.

CRU is not liable for delays or temporary inability to provide a service resulting from events outside its reasonable control, including widespread power or communications failures, disasters, fires, floods, decisions by public authorities or other force majeure events.

In such cases, CRU will seek to offer appropriate rescheduling, credit or a refund for the part of the service that cannot be provided.

  1. Limitation of liability

CRU provides its services with due care and in accordance with the characteristics communicated to the customer.

To the fullest extent permitted by law, CRU is not liable for indirect losses, loss of profits or interruptions to the customer’s professional activity resulting from circumstances not attributable to CRU.

Nothing in these Terms excludes or limits CRU’s liability where such exclusion is prohibited by law, including in cases of wilful misconduct, gross negligence, personal injury attributable to CRU or infringement of mandatory consumer rights.

  1. Intellectual property

The texts, images, photographs, videos, graphic elements, trademarks, logos and other content on the website belong to CRU, their respective authors or entities that have authorised their use.

These materials may not be reproduced, altered, distributed, commercially exploited or otherwise used without prior authorisation, except where permitted by law.

Purchasing a service or product does not transfer any intellectual property rights relating to CRU’s content, methods, materials, equipment or identity.

  1. Data protection

Personal data is processed in accordance with the Privacy Policy published on the website.

Customers are responsible for ensuring that they have a lawful basis for providing the personal data of participants, guests or other persons included in a booking.

  1. Third-party services and links

The website may use or display third-party services, including payment methods, calendars, booking platforms and external links.

Use of those services may be subject to their own terms and policies. CRU does not control or accept responsibility for external content or services that it does not operate directly, without prejudice to any liability legally attributable to CRU.

  1. Changes to these Terms

CRU may update these Terms and Conditions to reflect legal, technical or operational changes.

The version applicable to each purchase is the version published or communicated when the contract is concluded.

Material changes affecting existing subscriptions will be communicated before they take effect. These Terms will not be changed retroactively to the customer’s detriment.

  1. Applicable law

These Terms and Conditions are governed by Portuguese law.

This provision does not affect the mandatory rights of consumers residing in other countries or the applicable legal rules concerning the competent court.
